Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and bundleIQ, Inc., a Delaware corporation ("bundleIQ," "we," "us," or "our"). These Terms govern your access to and use of bundleIQ's products and services, including the Alani suite of products — Alani Hub, Alani Connect, and Alani Insights — as well as any associated websites, applications, APIs, and documentation (collectively, the "Services").

By creating an account, accessing, or using any of the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "Customer" refers to that organization.

Enterprise Customers: If you have executed a separate enterprise agreement with bundleIQ, the terms of that agreement will govern your use of the Services to the extent they conflict with these Terms. In the event of a conflict, the enterprise agreement will control.

2. Description of Services

bundleIQ provides an AI-powered knowledge management platform delivered as software as a service (SaaS). The Alani product suite includes:

• Alani Hub — A personal knowledge management application that enables users to upload, organize, search, and interact with documents, files, and other content using AI-powered features including summarization, semantic search, and conversational agents.
• Alani Connect — A publisher content and community platform that enables content creators, publishers, and organizations to distribute content, build communities, and engage audiences through AI-enhanced discovery and interaction.
• Alani Insights — An enterprise data intelligence platform that enables organizations to analyze, query, and extract insights from proprietary data using AI-powered agents, document processing, and collaborative workflows.

bundleIQ reserves the right to modify, update, or discontinue any feature or aspect of the Services at any time. For material changes that reduce core functionality, we will provide reasonable advance notice to active subscribers.

3. Account Registration and Eligibility

3.1 Account Creation

To access the Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Eligibility

The Services are intended for use by businesses, professionals, and individuals who are at least eighteen (18) years of age. Where the Services are deployed by an educational institution and minors may interact with the platform, the educational institution is responsible for compliance with applicable laws, including COPPA and FERPA, as described in our Privacy Policy.

3.3 Organizational Accounts

If you create an account on behalf of an organization, you represent that you are authorized to do so. The organization is responsible for managing its authorized users and ensuring their compliance with these Terms. Administrators may have the ability to access, monitor, and control organizational accounts and associated content.

4. Electronic Communications

By creating an account or using the Services, you consent to receive electronic communications from bundleIQ, including account notifications, service updates, transactional emails, security alerts, and other information related to the Services. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You may manage your communication preferences as described in our Privacy Policy, but certain transactional and service-related communications are required for the operation of your account and cannot be opted out of while your account is active.

5. Subscriptions, Billing, and Payment

5.1 Plans and Pricing

bundleIQ offers the Services under multiple pricing models, including a free tier, monthly subscriptions, annual subscriptions, and usage-based pricing. Current pricing and plan details are available on our website or as provided in an applicable order form or enterprise agreement.

bundleIQ reserves the right to change pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least thirty (30) days' advance notice.

5.2 Free Tier

The free tier provides limited access to the Services at no charge. bundleIQ may modify, limit, or discontinue the free tier at any time without prior notice. The free tier is provided "as is" without any service level commitments.

5.3 Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

5.4 Usage-Based Pricing

Certain features or Services may be billed based on usage (such as API calls, document processing volume, or AI query volume). Usage-based charges are calculated and billed in accordance with the pricing terms in effect at the time of usage. bundleIQ will provide reasonable visibility into current usage through the platform or account dashboard.

5.5 Payment Processing

All payments are processed through Stripe. By providing payment information, you authorize bundleIQ and Stripe to charge the applicable fees to your designated payment method. You are responsible for keeping your payment information current.

5.6 Taxes

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all applicable taxes associated with your use of the Services, excluding taxes based on bundleIQ's net income.

5.7 Late Payment

If payment is not received when due, bundleIQ may suspend access to paid features after providing at least ten (10) days' written notice. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. Intellectual Property

6.1 bundleIQ's Intellectual Property

bundleIQ owns and retains all rights, title, and interest in and to the Services, including all underlying technology, software, algorithms, AI models, user interfaces, designs, trademarks (including the bundleIQ and Alani brands), documentation, and all related intellectual property rights. These Terms do not grant you any rights to bundleIQ's intellectual property except for the limited license to use the Services as described herein.

bundleIQ also retains all rights in aggregated, anonymized, and de-identified data derived from the operation of the Services that does not identify you or any individual ("Aggregated Data"). bundleIQ may use Aggregated Data for product improvement, analytics, benchmarking, and other lawful business purposes.

6.2 Customer Content

"Customer Content" means all data, documents, files, text, images, audio, video, and other materials that you upload, submit, or make available through the Services.

You retain all ownership rights in your Customer Content. By using the Services, you grant bundleIQ a limited, non-exclusive, royalty-free, worldwide license to access, process, store, transmit, and display your Customer Content solely for the purpose of providing and improving the Services to you. This license terminates when you delete your Customer Content or your account, except as required for bundleIQ to comply with legal obligations or as otherwise specified in these Terms.

6.3 AI-Generated Outputs

"AI-Generated Outputs" means any summaries, insights, recommendations, transcriptions, embeddings, analyses, or other content generated by the Services through the processing of your Customer Content.

As between you and bundleIQ, you own all AI-Generated Outputs derived from your Customer Content, subject to the following:

• AI-Generated Outputs are provided "as is" and may not be accurate, complete, or suitable for any particular purpose. You are solely responsible for reviewing and validating any AI-Generated Outputs before relying on them.
• bundleIQ does not guarantee that AI-Generated Outputs are unique or non-infringing. Similar inputs from different users may produce similar or identical outputs.
• bundleIQ retains no ownership interest in AI-Generated Outputs derived from your Customer Content, but does retain all rights in the underlying models, algorithms, and technology used to generate them.

6.4 Enterprise IP Terms

Enterprise customers with executed enterprise agreements may have different intellectual property terms, including custom provisions regarding ownership, licensing, and derivative works. In the event of a conflict between these Terms and an enterprise agreement, the enterprise agreement will control.

6.5 Feedback

If you provide bundleIQ with suggestions, ideas, feature requests, or other feedback regarding the Services ("Feedback"), you grant bundleIQ a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Services without any obligation to you.

7. Acceptable Use

7.1 Permitted Use

You may use the Services only for lawful business and personal purposes in accordance with these Terms. You are responsible for ensuring that your use of the Services and all Customer Content complies with applicable laws and regulations.

7.2 Prohibited Conduct

You agree not to:

• Use the Services to violate any applicable law, regulation, or third-party right
• Upload or transmit any content that is unlawful, defamatory, obscene, or that infringes any intellectual property or privacy rights
• Attempt to gain unauthorized access to the Services, other accounts, or any systems or networks connected to the Services
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services
• Use the Services to develop a competing product or service
• Circumvent or disable any security, authentication, or access control features of the Services
• Use the Services to transmit malware, viruses, or other harmful code
• Use automated tools (bots, scrapers, crawlers) to access the Services except through our published APIs in accordance with applicable rate limits and documentation
• Resell, sublicense, or redistribute access to the Services without bundleIQ's prior written consent
• Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services
• Use the Services to generate content that promotes violence, harassment, discrimination, or illegal activity
• Misrepresent your identity or affiliation with any person or organization

7.3 Enforcement

bundleIQ reserves the right to investigate and take appropriate action in response to violations of these Terms, including suspending or terminating your access to the Services, removing content, and reporting violations to law enforcement where appropriate.

8. API Access and Usage

8.1 API Availability

bundleIQ may provide application programming interfaces (APIs) that allow you to access certain features of the Services programmatically. API access may be subject to additional terms, documentation, and usage limits as published by bundleIQ.

8.2 API Keys

You are responsible for maintaining the security and confidentiality of your API keys. You are liable for all activity conducted through your API keys, whether or not authorized by you. You must notify bundleIQ immediately if you become aware of any unauthorized use of your API keys.

8.3 Rate Limits and Quotas

API usage is subject to rate limits and quotas as specified in our API documentation or your applicable plan. bundleIQ may throttle or suspend API access if usage exceeds applicable limits or poses a risk to the stability or security of the Services.

8.4 API Modifications

bundleIQ may modify, deprecate, or discontinue API endpoints at any time. We will use commercially reasonable efforts to provide advance notice of material API changes. Continued use of the API after changes constitutes acceptance of the modified terms.

9. Alani Connect — Publisher and Community Terms

9.1 Applicability

This section applies to publishers, content creators, and community participants who use Alani Connect to distribute content, build communities, or engage with audiences.

9.2 Publisher Content Ownership

Publishers retain full ownership of all content they upload, publish, or distribute through Alani Connect ("Publisher Content"). The specific terms governing Publisher Content, including licensing, distribution rights, revenue sharing, and content moderation, are set forth in a separate Publisher Agreement between the publisher and bundleIQ.

9.3 Community Guidelines

All users of Alani Connect are expected to engage respectfully and in compliance with bundleIQ's community guidelines (as published on the platform). bundleIQ reserves the right to remove content and suspend or terminate accounts that violate community guidelines.

9.4 Content Moderation

bundleIQ may use both automated tools and human review to moderate content on Alani Connect. bundleIQ is not obligated to monitor all content but reserves the right to review, remove, or restrict any content at its sole discretion.

10. Confidentiality

10.1 Definition

"Confidential Information" means any non-public information disclosed by one party to the other in connection with these Terms that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Customer Content is considered Customer's Confidential Information. bundleIQ's pricing, product roadmap, security architecture, and non-public technical documentation are considered bundleIQ's Confidential Information.

10.2 Obligations

Each party agrees to: (a) protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and no less than reasonable care; (b) use the other party's Confidential Information only for the purposes of fulfilling its obligations or exercising its rights under these Terms; and (c) not disclose the other party's Confidential Information to any third party except to employees, contractors, and agents who need to know and are bound by confidentiality obligations at least as protective as those in this section.

10.3 Exceptions

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is rightfully received from a third party without restrictions on disclosure.

10.4 Required Disclosures

A party may disclose the other party's Confidential Information to the extent required by law, regulation, or court order, provided that the disclosing party gives the other party reasonable prior notice (to the extent permitted by law) and reasonable assistance in contesting the disclosure.

11. Third-Party Services and Integrations

11.1 Third-Party Connections

The Services may allow you to connect to or integrate with third-party services (such as Google, Microsoft, or other platforms via OAuth). Your use of third-party services is governed by the applicable third party's terms and privacy policies. bundleIQ is not responsible for the availability, accuracy, or practices of any third-party service.

11.2 Third-Party AI Providers

As described in our Privacy Policy, certain AI features are powered by third-party providers. bundleIQ is not responsible for the outputs generated by third-party AI models and makes no warranties regarding the accuracy, completeness, or fitness of AI-generated content.

12. Artificial Intelligence — Limitations, Accuracy, and Liability

12.1 Nature of AI-Generated Outputs

The Services use artificial intelligence, including third-party large language models, to process your content and generate outputs such as summaries, insights, recommendations, transcriptions, analyses, and conversational responses. AI technology is inherently probabilistic and may produce outputs that are inaccurate, incomplete, misleading, or fabricated.

12.2 AI Hallucinations and Inaccuracies

AI models may generate content that appears plausible but is factually incorrect, a phenomenon commonly known as "hallucination." This includes but is not limited to: fabricated citations, references, or quotations; incorrect data, statistics, or calculations; mischaracterizations of source material; logical inconsistencies or flawed reasoning; generated content that does not accurately reflect the underlying Customer Content; and outputs that combine information from multiple sources in misleading ways.

bundleIQ does not guarantee the accuracy, truthfulness, completeness, or reliability of any AI-generated output. AI-generated outputs should not be treated as a substitute for professional judgment, expert analysis, or independent verification.

12.3 Customer Responsibility

You are solely responsible for reviewing, validating, and verifying all AI-generated outputs before relying on them for any purpose, including but not limited to business decisions, legal compliance, financial analysis, medical or health-related matters, regulatory filings, public communications, or any other use where accuracy is material.

You acknowledge that the use of AI-generated outputs without adequate human review and validation is at your own risk. bundleIQ strongly recommends implementing appropriate review processes before acting on or distributing any AI-generated content.

12.4 No Professional Advice

AI-generated outputs do not constitute and should not be relied upon as legal, financial, medical, tax, accounting, or other professional advice. If professional advice is required, you should consult a qualified professional.

12.5 Non-Uniqueness of Outputs

AI-generated outputs are not guaranteed to be unique. Similar or identical inputs from different users may produce similar or identical outputs. bundleIQ makes no representation that AI-generated outputs are original, non-infringing, or protectable under intellectual property law.

12.6 Third-Party AI Providers

Certain AI capabilities are provided through third-party AI providers as described in our Privacy Policy. bundleIQ does not control the underlying behavior of third-party AI models and is not responsible for errors, biases, hallucinations, or other limitations inherent in those models. Third-party AI providers may update their models at any time, which may affect the quality, consistency, or behavior of AI-generated outputs.

12.7 Limitation of Liability for AI Outputs

TO THE FULLEST EXTENT PERMITTED BY LAW, BUNDLEIQ SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, COSTS, OR EXPENSES ARISING FROM OR RELATED TO YOUR RELIANCE ON AI-GENERATED OUTPUTS, INCLUDING BUT NOT LIMITED TO DECISIONS MADE, ACTIONS TAKEN, OR CONTENT PUBLISHED BASED ON AI-GENERATED OUTPUTS. THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE AI-GENERATED OUTPUT CONTAINED ERRORS, HALLUCINATIONS, INACCURACIES, OR OMISSIONS, AND REGARDLESS OF WHETHER BUNDLEIQ WAS AWARE OR SHOULD HAVE BEEN AWARE OF SUCH ISSUES.

12.8 Continuous Improvement

bundleIQ is committed to improving the accuracy and reliability of its AI capabilities over time. However, no AI system is infallible, and improvements to AI models may change the behavior or quality of outputs in ways that are not always predictable. bundleIQ does not guarantee that AI capabilities will improve over time or that any specific accuracy threshold will be met.

13. Data Protection and Privacy

13.1 Privacy Policy

bundleIQ's collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13.2 Data Security

bundleIQ implements industry-standard security measures to protect Customer Content and personal information, as described in our Privacy Policy. However, no method of transmission or storage is 100% secure, and bundleIQ cannot guarantee absolute security.

13.3 Data Processing Agreements

Enterprise customers may request a Data Processing Agreement (DPA) to govern the processing of personal data. DPAs are available upon request by contacting hello@bundleiq.com.

13.4 Data Portability

You may export your Customer Content at any time through the functionality available in the Services or by contacting us. Upon termination of your account, bundleIQ will make your Customer Content available for export for a reasonable period before deletion, unless immediate deletion is requested.

14. Service Levels and Support

14.1 Availability

bundleIQ uses commercially reasonable efforts to maintain the availability of the Services. The Services may be temporarily unavailable for scheduled maintenance, updates, or due to circumstances beyond our control.

14.2 Service Level Agreements

Service level agreements (SLAs), including uptime commitments and remedies for downtime, are available exclusively to enterprise customers under a separate enterprise agreement. The free tier and standard subscription plans do not include SLA commitments.

14.3 Support

bundleIQ provides support in accordance with the support terms associated with your plan. Support availability, response times, and channels may vary by plan tier.

15. Term, Termination, and Suspension

15.1 Term

These Terms are effective as of the date you first access or use the Services and continue until terminated by either party.

15.2 Termination by Customer

You may terminate your account at any time by following the account deletion process in the Services or by contacting us at hello@bundleiq.com. Upon termination:

• If you are on a monthly plan, your subscription will end at the conclusion of the current billing period.
• If you are on an annual plan, your subscription will end at the conclusion of the current annual term. No prorated refunds are provided for the remaining term unless required by applicable law.
• If you are on the free tier, termination takes effect immediately.

15.3 Termination by bundleIQ

bundleIQ may terminate or suspend your account and access to the Services:

• Immediately, if you materially breach these Terms and fail to cure the breach within fifteen (15) days of written notice (or immediately for breaches that cannot be cured, such as violations of the acceptable use policy)
• Immediately, if required by law or to protect the security or integrity of the Services
• Upon thirty (30) days' written notice for any reason or no reason, with a prorated refund of any prepaid fees for the unused portion of the term

15.4 Effect of Termination

Upon termination:

• Your right to access and use the Services immediately ceases (subject to any wind-down period for data export as described in Section 13.4).
• bundleIQ will delete your Customer Content in accordance with our Privacy Policy. For account deletions, Customer Content is removed immediately from active systems.
• Sections that by their nature should survive termination will survive, including Sections 6 (Intellectual Property), 7.2 (Prohibited Conduct), 10 (Confidentiality), 12 (AI Limitations and Liability), 16 (Warranties and Disclaimers), 17 (Limitation of Liability), 18 (Indemnification), and 20 (General Provisions).

16. Warranties and Disclaimers

16.1 Limited Warranty

bundleIQ warrants that, during the applicable subscription term, when used in accordance with these Terms and any applicable documentation, the Services will perform materially in accordance with the documentation made available by bundleIQ. If the Services do not conform to this warranty, bundleIQ will, at its option, use commercially reasonable efforts to correct the non-conformity or provide a workaround. If bundleIQ is unable to materially correct the non-conformity within a reasonable timeframe, you may terminate the affected subscription and receive a prorated refund of any prepaid fees for the unused portion of the subscription term. This is your sole and exclusive remedy for any breach of this warranty.

16.2 Disclaimers

EXCEPT FOR THE LIMITED WARRANTY IN SECTION 16.1, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, BUNDLEIQ DISCLAIMS ALL OTHER WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

Without limiting the foregoing or the AI-specific disclaimers and limitations set forth in Section 12:

• bundleIQ does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• bundleIQ does not warrant the accuracy, completeness, reliability, or suitability of any AI-generated outputs. AI-generated content may contain errors, inaccuracies, hallucinations, or biases. You are solely responsible for evaluating and validating AI-generated outputs before relying on them for any purpose.
• bundleIQ does not warrant that AI-generated outputs will be unique, non-infringing, or suitable for any particular legal, regulatory, or compliance purpose.
• bundleIQ is not responsible for the accuracy, availability, or practices of any third-party services integrated with the Services.

17. Limitation of Liability

17.1 Exclusion of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EITHER PARTY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17.2 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EXCEPT FOR: (A) A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, (B) A PARTY'S INDEMNIFICATION OBLIGATIONS UNDER THESE TERMS, OR (C) CUSTOMER'S PAYMENT OBLIGATIONS, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL FEES PAID BY CUSTOMER TO BUNDLEIQ DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED DOLLARS ($100).

17.3 Free Tier Limitation

IF YOU ARE USING THE SERVICES UNDER THE FREE TIER, BUNDLEIQ'S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED TEN DOLLARS ($10).

17.4 AI-Specific Liability

WITHOUT LIMITING SECTION 12.7, THE LIMITATIONS SET FORTH IN THIS SECTION 17 APPLY TO ALL CLAIMS ARISING FROM OR RELATED TO AI-GENERATED OUTPUTS, INCLUDING CLAIMS BASED ON HALLUCINATIONS, INACCURACIES, ERRORS, OR OMISSIONS IN SUCH OUTPUTS.

17.5 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

18. Indemnification

18.1 bundleIQ's Indemnification Obligations

bundleIQ will indemnify, defend, and hold harmless Customer from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to allegations that the Services, as provided by bundleIQ and used in accordance with these Terms, infringe or misappropriate any third party's intellectual property rights. This obligation does not apply to claims arising from: (a) Customer Content; (b) modifications to the Services made by anyone other than bundleIQ; (c) use of the Services in combination with products or services not provided by bundleIQ; or (d) use of the Services in violation of these Terms.

If the Services become, or in bundleIQ's reasonable opinion are likely to become, the subject of an infringement claim, bundleIQ may, at its option and expense: (i) procure the right for Customer to continue using the Services; (ii) modify the Services to make them non-infringing; or (iii) if neither (i) nor (ii) is commercially reasonable, terminate the affected subscription and provide a prorated refund of any prepaid fees for the unused portion of the subscription term.

18.2 Customer's Indemnification Obligations

Customer agrees to indemnify, defend, and hold harmless bundleIQ and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Customer's use of the Services in violation of these Terms
• Customer Content, including any claim that Customer Content infringes or misappropriates any third-party intellectual property or privacy right
• Customer's violation of any applicable law or regulation
• Customer's use or distribution of AI-Generated Outputs

18.3 Indemnification Process

bundleIQ will promptly notify you of any claim subject to indemnification and provide reasonable cooperation at your expense. You may not settle any claim without bundleIQ's prior written consent if the settlement imposes obligations on bundleIQ or admits liability on bundleIQ's behalf.

19. Dispute Resolution

19.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

19.2 Informal Resolution

Before filing any formal legal proceeding, both parties agree to attempt to resolve any dispute informally by contacting the other party and providing a written description of the dispute. Both parties agree to negotiate in good faith for at least thirty (30) days before pursuing formal resolution.

19.3 Arbitration

Any dispute arising out of or related to these Terms that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, or remotely at the election of either party. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Opt-Out Right: You may opt out of this arbitration provision by sending written notice to hello@bundleiq.com within thirty (30) days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Delaware.

19.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.

19.5 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy, any applicable enterprise agreement, publisher agreement, or order form, constitute the entire agreement between you and bundleIQ with respect to the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

20.2 Amendments

bundleIQ may amend these Terms at any time by posting the updated Terms on our website. For material changes, we will provide at least thirty (30) days' advance notice via email or through the Services. Your continued use of the Services after the effective date of any amendment constitutes your acceptance of the amended Terms. If you do not agree to the amended Terms, you may terminate your account before the changes take effect.

20.3 Assignment

You may not assign or transfer these Terms or your rights under these Terms without bundleIQ's prior written consent. bundleIQ may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, provided the assignee assumes bundleIQ's obligations under these Terms.

20.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

20.5 Waiver

The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

20.6 Force Majeure

bundleIQ shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, labor disputes, government actions, power failures, internet or telecommunications failures, or failures of third-party service providers.

20.7 Notices

All notices under these Terms shall be in writing and deemed effective when delivered. Notices to bundleIQ should be sent to hello@bundleiq.com. Notices to you will be sent to the email address associated with your account.

20.8 Independent Contractors

The relationship between you and bundleIQ is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

20.9 Export Compliance

You agree to comply with all applicable export control and sanctions laws and regulations in connection with your use of the Services. You represent that you are not located in, or a national or resident of, any country subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted party list.
